Terms and Conditions of Use1. Introduction. The Site is intended for individuals seeking employment and for employers or recruiters seeking candidates for W-2 or 1099 employment. You may use this site only for lawful purposes within the stated context of Greatlabjobs' intended and acceptable use of the Site. Greatlabjobs is the sole interpreter of the Site's intended and acceptable use. Your access or use of the Site indicates your acceptance of these Terms and Conditions that may be amended from time to time by Greatlabjobs. Please review this link on a regular basis for changes. Your continued use of the Site constitutes your acceptance of the changes. You are agreeing to use the Site at your own risk. If you do not accept these Terms and Conditions or you do not comply with their provisions, you may not use the Site. If you are an employer or recruiter using the Site, and have entered into a Service Agreement with Greatlabjobs, these Terms and Conditions are part of and incorporated into that Service Agreement. These Terms and Conditions are effective as of January 4, 2010. 2. License to Use by Users who are Job Seekers. Greatlabjobs hereby grants you a limited, terminable, non-exclusive right to access and use the Site only for your personal use seeking employment opportunities for yourself. This authorizes you to view and respond to job postings and to download a single copy of the material on the Site solely for your personal non-commercial use. Your use of the Site is a privilege. Greatlabjobs reserves the right to suspend or terminate that privilege for any reason at any time, in its sole discretion. 3. License to Use by Users who are employers or recruiters. Greatlabjobs hereby grants you a limited, terminable, non-exclusive right to access and use the Site only for your internal business use seeking candidates for employment. This authorizes you to receive and download a single copy of candidate responses to your job postings solely for your personal use directly related to using the Site for the purpose of searching and recruiting job prospects. You may not sell, transfer or assign any products or services or your rights to any products or services provided by Greatlabjobs to any third party without the express written authorization of Greatlabjobs. You agree that you are solely responsible for the content of any material you post on the Site and any consequences arising from such posting. Greatlabjobs reserves the right to suspend or terminate your access and use at any time if Greatlabjobs determines that you are in breach of any of these Terms and Conditions. 4. Posting Rules. (a) Your job posting material may not contain: (i) URLs or links to websites that are not your own; (ii) copyrighted material (unless you own the copyright) or have the owner's permission to post the copyrighted material; (iii) trade secrets unless you own them or have the owner's permission to post them; (iv) material that infringes on or misappropriates any other intellectual property rights or violates the privacy or publicity rights of others; (v) keywords or white text keywords including any words embedded in the job posting material and hidden from the user; (vi) anything that is discriminatory, sexually explicit, obscene, libelous, defamatory, threatening, harassing, abusive or hateful;(vii) anything that is embarrassing or offensive to another person or entity. (b) You may not use your job posting material to: (i) impersonate another company or person, living or dead; (ii) post false, inaccurate or misleading information; (iii) post advertisements or solicitations of business including, but not limited to franchises, club memberships, distributorships, or anything requiring a monetary investment by the Site user, including a request for payment to obtain job listings; (iv) post chain letters or pyramid schemes; or (v) post opinions, notices or blogs, commercial or otherwise. (c) Your job posting material must contain sufficient detail to convey clearly to the prospective job candidate the nature and requirements of the job opportunity, or your qualifications as a prospective bona fide employer. Job posting material that encourages the user to "email for more details" are not permitted. (d) Job postings must be individual openings for traditional W-2 or 1099 employees. (e) Greatlabjobs is under no obligation to monitor the material posted on the Site, but it may monitor such material at random. Material found to violate the Posting Rules may be removed at Greatlabjobs discretion. 5. Conduct Rules. (a) All Site users may not respond to job postings in any manner or for any purpose other than that which is expected (i.e., to personally apply for a job or to initiate further correspondence or discussion with the employer or recruiter for the sole purpose of seeking employment). Communications soliciting the employer's or the recruiter's business by our competitors is prohibited. (b) Site users may not send unsolicited email to employers and recruiters. (c) All Site users are responsible for maintaining the confidentiality of their information and password. Further, they are responsible for all uses of their registration whether or not authorized by Greatlabjobs. If others use your password to respond to job postings or post inappropriate material on the Site, you and they risk losing access to the Site. You agree to notify Greatlabjobs immediately of any unauthorized use of your registration and password. (d) You agree to report any inappropriate response, postings or conduct to Greatlabjobs. (e) You may not delete or revise any material posted by any other person or entity. (f) If at any time during the term of this agreement Greatlabjobs comes to the understanding that you: misled Greatlabjobs of your business practices and/or services, or (ii) purchased services that do not represent your precise business, Greatlabjobs reserves the right to terminate this agreement. (g Greatlabjobs is under no obligation to monitor the conduct of its Site users, but it may investigate and respond when violations are reported. (h) Site users agree that they will not use (or plan, encourage or help others to use) the Site for any purpose or in any manner that is prohibited by these Terms and Conditions or by applicable law. It is their responsibility to ensure that their use of the Site complies with these Terms and Conditions and all applicable laws. 6. Security Rules. Site users are prohibited from violating or attempting to violate the security of the Site, including without limitation: (i) accessing data not intended for such Site user or logging into a server or account which the Site user is not authorized to access; (ii) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (iii) attempting to interfere with service to any other Site user, host or network, including without limitation, via means of submitting viruses to the Site, Trojan horses, worms, time bombs, overloading, flooding, cancel bots, crashing or any other computer programming routines or engines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information; (iv) sending unsolicited emails, including promotions and/or advertising products or services; (v) forging any part of Greatlabjobs website for any purpose including, but not limited to emails, blogs or newsgroup postings. Violations of system or network security may result in civil or criminal litigation. 7. Limitation of Liability. Greatlabjobs is merely a passive conduit between employers/recruiters and job seekers. Hence, Greatlabjobs does not screen or censor the submitted job postings and job responses and is not involved in the actual transaction or decisions of its users. Therefore, Greatlabjobs has no control over the quality, safety or legality of the posted information or the truth and accuracy of the listings and responses. The use of the Site and its content is at your sole risk. The Site's content may contain inaccuracies, typographical errors or misleading, false and out-of-date information. The Site is provided on an "As Is" basis, and Greatlabjobs does not warrant that the Site will meet your requirements, will be uninterrupted, timely, secure, error-free and not contain computer viruses or other harmful mechanisms. If your use of the Site results in the need for servicing or replacing equipment or data, Greatlabjobs is not responsible for those costs. Your use of the Site constitutes your agreement to defend, indemnify and hold harmless Greatlabjobs.com, Inc. (including its employees, officers, directors and contractors) and its affililated companies and partners from any claim or demand (including attorneys' fees) arising out of your use or misuse of the Site or the use or misuse of the Site by a third party using your password. 8. GREATLABJOBS.COM MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, OR THAT (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED. NO INFORMATION OBTAINED BY YOU FROM GREATLABJOBS.COM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS AND CONDITIONS. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. IF YOU ARE DISSATISFIED WITH ANY GREATLABJOBS.COM MATERIALS, PRODUCTS OR SERVICES OR WITH ANY OF GREATLABJOBS.COM TERMS AND CONDITIONS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING GREATLABJOBS.COM. 9. Intellectual Property Rights. The contents of this site, (including text, graphics, color, images, logos, button icons, HTML code, software, intellectual property and other Material) are the property of Greatlabjobs.com, and its content suppliers or clients are protected by U.S. copyright laws. In addition, the compilation (meaning the collection, arrangement and assembly) of all content on this Site is equally protected. The use of the Site's Materials on any other website or networked computer environment or for any other purpose is strictly prohibited and such unauthorized use may violate copyright, trademark and other similar laws. You may use, view, print and/or download one copy of the Materials from this Site on any computer solely for your personal, informational, non-commercial use within your organization, provided you keep intact all copyright and other proprietary notices. In no event shall materials from this Site be stored in any information storage and retrieval system without the prior written permission from Greatlabjobs.com. 10. Payment of Services upon Termination of Service Agreement.
